CenterWell, the healthcare services division of Humana Inc., has finalized the acquisition of MaxHealth from Arsenal Capital Partners and the company’s founder-shareholders. MaxHealth operates 54 owned primary care clinics, four specialty and ancillary clinics, and 24 affiliated downstream clinics across West and South Florida. Together, these facilities provide integrated, high-quality care to more than 120,000 patients, including over 80,000 enrolled in value-based care programs. MaxHealth will now be part of CenterWell Senior Primary Care, the nation’s largest senior-focused, value-based primary care network, expanding CenterWell’s reach into key Florida markets and enabling more patients to access personalized, coordinated care. Financial terms of the deal were not disclosed.

Morgan Securities LLC advised Humana and CenterWell, with Latham & Watkins LLP serving as legal counsel.
