The change of the Company’s independent auditor was made after careful consideration and an evaluation process and was approved by the Audit Committee and the Board of Directors of the Company.

The decision to change auditors was not as a result of any disagreement between the Company and CBIZ on any matter of accounting principles or practices, financial statement disclosure, auditing scope or procedures.
